Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Styx AI Foundry Console ("Service") located at www.styxai.com, you agree to be bound by these Terms of Service ("Terms"). If you represent an entity, you certify that you have the authority to bind that entity to these Terms. If you do not agree, you must immediately discontinue use of the Service.

2. Intellectual Property & Proprietary Rights

The Service, including but not limited to all algorithms, source code, visualizations, "ISED" methodologies, and the "Styx AI" brand, are the sole and exclusive property of Styx AI.

Patent Notice:

The underlying technology is protected under U.S. Patent Application Nos. 63/940,736 and 63/983,021, along with other pending intellectual property rights.

Feedback:

Any suggestions, feedback, or improvements you provide regarding the Service shall be the property of Styx AI, which we may use without obligation or compensation to you.

3. Limited License & Permitted Use

Subject to your compliance with these Terms, Styx AI grants you a limited, non-exclusive, non-transferable, revocable license to access the Service solely for internal evaluation and due diligence purposes.

No Commercial Use:

You may not use the output of this Service for commercial production, public display, or resale without a separate, signed Master Services Agreement (MSA).

4. Prohibited Conduct

To protect our proprietary technology, you agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service.
  • Use the Service to build a competitive product or service, or for benchmarking purposes.
  • Use any automated means (bots, scrapers, spiders) to access or collect data from the Service.
  • Input any sensitive personal data (PII), protected health information (PHI), or confidential third-party data into the Console.

5. Account Security

If the Service requires a login, you are responsible for maintaining the confidentiality of your credentials. You agree to notify Styx AI immediately of any unauthorized use of your account. You may not share your access credentials with third parties outside your organization.

6. AI Disclaimers & Accuracy

You acknowledge that the Service utilizes artificial intelligence and experimental methodologies ("ISED").

"As Is" Basis:

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

Probabilistic Nature:

AI outputs may be probabilistic and prone to error. Styx AI does not guarantee the accuracy, completeness, or reliability of any visualizations or algorithmic outputs. You should not rely on the Service for critical decision-making without independent verification.

7. Limitation of Liability

To the maximum extent permitted by law, Styx AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. In no event shall Styx AI’s total liability exceed the amount you paid to access the Service in the last twelve (12) months or $100 USD, whichever is greater.

8. Termination

Styx AI reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and without notice, particularly if we believe you have violated these Terms or threatened our Intellectual Property rights.

9. Governing Law

These Terms shall be governed by the laws of the State of [Insert Your State], without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in [Insert Your County/City].

10. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Service following any changes constitutes your acceptance of the new Terms.
